As an Associate - Commercial and Corporate Lawyer, you will play a vital role in maintaining our commitment to delivering timely, cost-effective, and risk-conscious solutions without compromising on quality, and be part of a dynamic work environment that values adaptability and growth.

Responsibilities:

  • Draft, review, and negotiate a wide range of corporate agreements and transactions.
  • Conduct legal research and provide comprehensive legal analysis on corporate matters.
  • Assess legal risks and advise clients in commercial and corporate disputes prior to the dispute arising and throughout its course.
  • Assist in the formation and dissolution of various types of legal entities including corporations and partnerships.
  • Advise clients on compliance with corporate governance and securities laws.
  • Support clients in M&A and capital raising or debt transactions, including due diligence, drafting of shareholders' agreements, articles of associations, bond loans and closing processes.
  • Have exposure to, and manage, cross-border deals and accompany the client in foreign jurisdictions
  • Collaborate closely with clients' in-house teams (mostly executives) to provide timely legal support on various projects.
  • Participate in client meetings and calls, providing legal insights and strategic recommendations.

Requirements:

  • Law degree from an accredited law school.
  • Masters of Law in commercial or civil law from an English speaking program highly desired.
  • Fluent English.
  • Active membership in good standing with a state bar association.
  • Minimum of 2-3 years of experience in corporate law or a related field.
  • Strong understanding of corporate governance, M&A, and compliance regulations.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work both independently and collaboratively in a fast-paced environment.
  • Proven ability to manage multiple projects and priorities effectively.
