Antipollution—part of Vasileiadis Group of Companies (V Group)—is a leading provider of environmental and waste-management solutions across the Eastern Mediterranean, Egypt, and the Balkans. As we expand our operations across high-risk regulatory environments, we are seeking a highly analytical and pragmatic Legal Counsel to join our Athens headquarters. This role is critical in ensuring legal compliance and protecting the company's interests in maritime operations and environmental services.
Role Overview:
The Legal Counsel will act as the principal advisor on legal matters related to corporate law, all types of contractual agreements, public procurement and concession agreements, energy law, labor law, as well as the legal framework governing waste management and environmental services. You will handle the legal lifecycle of our operations—covering commercial contracting, regulatory interpretation, compliance, and dispute resolution. You will collaborate closely with internal stakeholders and external authorities and businesses to ensure that Antipollution operates within applicable legal frameworks, while also proactively identifying and mitigating legal risks.
Key Responsibilities:
- Handle all corporate law responsibilities, including drafting and maintaining Board of Directors' minutes, organizing and documenting General Assembly meetings, and ensuring compliance with the legal framework applicable mostly to Société Anonyme (S.A.) and Private Company (IKE) entities. This includes overseeing obligations related to GEMI (General Commercial Registry) filings and publications.
- Prepare, review, and negotiate all types of contractual agreements, such as those related to procurement, supply of goods and services, partnership agreements, labor contracts and transactions related to mergers and acquisitions, joint ventures, and NDAs.
- Assist in the preparation and legal review of tender files for both public and private sector projects. Represent and defend the company's legal interests before competent authorities and courts, when required, including in cases of legal challenges or disputes related to the tendering process.
- Interpret and apply international conventions (e.g., MARPOL, Basel Convention, SOLAS) as well as EU and Greek legislation, especially regarding waste management, energy and environmental protection.
- Provide legal due diligence and structuring guidance on mergers, acquisitions, and international partnerships.
- Provide legal support in all authorization and licensing procedures related to any aspect of the operations of the company and its affiliated group entities.
- Assess legal risks and deliver mitigation strategies aligned to business needs and ESG obligations.
- Advise on vessel operations, charter parties, ship arrest procedures, salvage claims, and maritime liabilities.
- Manage claims, pre-litigation matters and litigation proceedings in coordination with external counsel. Represent company interests in negotiations, mediations, arbitrations and regulatory inquiries.
Qualifications & Experience:
- Bachelor's degree in Greek Law; LLM in Corporate or Environmental Law is a strong advantage.
- Admission to the Bar in Greece (or another EU country) required.
- Minimum 7 years post-qualification experience in law firms or corporate environments, with clear exposure to corporate law matters. Public procurement experience is a strong advantage.
- Experience also in sectors such as environmental services, energy preferred.
- Fluent in Greek and English (written and spoken)
